Since being founded in 1993, Englander Enterprises Inc., d.b.a. EEI Manufacturing Services (EEI) has always embraced a culture of The Best Parts. The People. This emphasizes Eel's business philosophy that relationships are key, and people are primary. Our company has always been guided by the principles of credibility, quality, and value to all our colleagues; customers, employees, suppliers, and community.
With that as our ongoing objective, I am pleased to announce our capability has recently significantly expanded. EEl has agreed to merge with ESAM (HubZone Small Business, Grants Pass, Oregon), Silicon Forest Electronics (Small Business, Vancouver, WA.) and Bay Computer Associates (BCA) (Small Business, Cranston, Rhode Island) through a stock purchase agreement with VergePointe Capital (Small Business, Lake Oswego, Oregon). Only shares of EEI Manufacturing Services, a Florida State Sub S Corporation, will change hands. The combined group will be merged into EHC, a holding company. EEI Manufacturing Services will remain as such.
I am very enthusiastic by this alliance as it will merge capabilities from adjacent business elements bringing together a "Total Solution" comprising of design (BCA), printed circuit board assembly production (EEI, SFE), cable and wire harness production (EEI, ESAM), and systems integration-box build (EEI, ESAM and SFE). The combined companies will have the scale, breadth, and increased capabilities to compete more effectively in our global marketplace, provide related capabilities increasing capacity while alleviating single point of failure risk and bring a broader range of services to our expanded customer base. Our employees will experience minimal impact and enjoy significant added benefits and opportunities to achieve our shared goals. The EEI TEAM you have grown to know, and trust, will remain intact and committed to providing the superior service that is the
hallmark of EEI.
Over the next few months, I will be transitioning my duties to Mr. Kevin McCall (EEl's Chief Operations Officer) and Mr. Dave Matheny (EHC CEO/President). My commitment to being a positive influence on the focus on our people and maintaining our culture will remain as I continue throughout this transition in an active role and beyond in a reduced role. My new title will be Founder/Former President. As such, I will continue to provide leadership and mentoring to the EEI TEAM as well as to the EHC family Dave Matheny offers, "We are very excited that the EEI Manufacturing Services TEAM has decided to join our EHC family. They will be very complementary to our ESAM, SFE and BCA capabilities, as their customer-centric focus blends perfectly with our current culture, and we are looking forward to working together to provide additional products and services to our expanding customer network.
